Terms of Service

Welcome to StemScribe. These Terms of Service ("Terms") govern your use of the StemScribe platform at stemscribe.io, including our web application, APIs, and related services (collectively, the "Service"). StemScribe is operated by Tidepool Artists, a business based in Charleston, South Carolina, USA ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

StemScribe is an audio processing platform that provides stem separation (isolating vocals, drums, bass, and other instruments from audio recordings) and AI-powered music transcription (generating sheet music, tablature, and chord charts from audio). The Service uses machine learning models to process audio files you upload.

2. Eligibility

You must be at least 13 years of age to use the Service. If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

By using the Service, you represent and warrant that you meet these age requirements and that you have the legal capacity to enter into a binding agreement.

3. Accounts and Subscriptions

3.1 Account Registration

Some features of the Service require you to create an account. You agree to provide accurate, current, and complete registration information and to keep this information up to date. You are solely responsible for safeguarding your account credentials and for all activity that occurs under your account.

The Service may be offered in multiple tiers, which currently include:

We reserve the right to modify, add, or remove tiers and their features at any time. Pricing and feature details are available on the Service's pricing page. Changes to paid tier pricing will take effect at the start of your next billing cycle, and we will provide reasonable notice before any price increase.

3.3 Billing and Cancellation

Paid subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial billing periods, except as required by applicable law.

4. Your Content and Responsibilities

4.1 Ownership of Your Content

You retain all rights, title, and interest in and to the audio files you upload to the Service ("User Content") and in the processed outputs the Service generates from your uploads ("Output"), subject to the underlying rights in the original audio.

We do not claim ownership of your User Content or Output. The separated stems, transcriptions, chord charts, and other outputs belong to you, subject to the rights of the original copyright holders.

4.2 License You Grant Us

By uploading User Content, you grant us a limited, non-exclusive, royalty-free, worldwide license to process, temporarily store, and transmit your User Content solely for the purpose of providing the Service to you. This license terminates when your User Content is deleted from our systems.

4.3 Your Responsibility for Content

You represent and warrant that you own or have obtained all necessary rights, licenses, and permissions for any audio you upload to the Service. This includes the right to make copies and create derivative works.

You are solely responsible for ensuring that your use of the Service does not violate the rights of any third party, including copyright holders, recording artists, music publishers, and record labels.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including removing content, suspending or terminating accounts, and reporting violations to law enforcement.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its design, features, functionality, machine learning models, algorithms, source code, documentation, trademarks, logos, and all related intellectual property, is and remains the exclusive property of Tidepool Artists and its licensors. These Terms do not grant you any right to use our trademarks, logos, or brand features.

6.2 Third-Party Rights

The Service processes audio but does not grant you any rights in the underlying musical compositions or sound recordings. If you process audio that contains copyrighted material, you are responsible for ensuring your use of the output complies with applicable copyright law, including any applicable fair use or fair dealing provisions.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use that feedback for any purpose without obligation to you.

7. Copyright Policy and DMCA

7.1 Respect for Copyright

We respect the intellectual property rights of others and expect our users to do the same. We comply with the Digital Millennium Copyright Act ("DMCA"), 17 U.S.C. § 512, and respond to valid notices of alleged copyright infringement.

7.2 DMCA Takedown Notices

If you believe that your copyrighted work has been used on or through the Service in a way that constitutes copyright infringement, you may submit a DMCA takedown notice to our designated Copyright Agent. Your notice must include:

  1. Identification of the copyrighted work you claim has been infringed
  2. Identification of the material on the Service that you claim is infringing, with sufficient detail for us to locate it
  3. Your contact information (name, address, telephone number, and email address)
  4. A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law
  5. A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf
  6. Your physical or electronic signature

7.3 Counter-Notifications

If you believe your content was removed in error, you may submit a counter-notification containing: (a) identification of the removed material, (b) a statement under penalty of perjury that you have a good-faith belief the material was removed by mistake, (c) your name, address, and telephone number, (d) consent to the jurisdiction of the federal court in your district, and (e) your physical or electronic signature.

7.4 Repeat Infringers

In accordance with the DMCA and our own policies, we will terminate the accounts of users who are repeat infringers in appropriate circumstances. We may also limit access or functionality for users who we reasonably believe are engaged in infringing activity.

9. Disclaimers

9.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9.2 No Guarantee of Accuracy

StemScribe uses AI and machine learning to process audio. We do not guarantee the accuracy, completeness, or quality of any output, including but not limited to:

Output quality depends on many factors including the source audio quality, complexity of the arrangement, recording conditions, and the inherent limitations of current AI technology. The Service is intended as a tool to assist musicians, not as a definitive source of musical notation.

9.3 Service Availability

We do not guarantee that the Service will be uninterrupted, error-free, or available at all times. We may modify, suspend, or discontinue any part of the Service at any time without notice. We are not liable for any downtime, data loss, or service interruption.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIDEPOOL ARTISTS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

You agree to indemnify, defend, and hold harmless Tidepool Artists and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

12.1 By You

You may stop using the Service at any time. If you have a paid subscription, you may cancel it through your account settings. You may request deletion of your account by contacting us at [email protected].

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to:

Upon termination, your right to access the Service ceases immediately. We may delete your account data, uploaded files, and processed outputs. Sections that by their nature should survive termination will survive, including but not limited to: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

13. Governing Law and Disputes

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of South Carolina, United States, without regard to its conflict of law provisions.

13.2 Jurisdiction

Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Charleston County, South Carolina, and you consent to the personal jurisdiction of such courts.

13.3 Informal Resolution

Before filing any formal legal action, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days. Most concerns can be resolved quickly through direct communication.

13.4 Limitation on Claims

Any cause of action or claim you may have arising out of or relating to these Terms or the Service must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action or claim is permanently barred.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you by email or through the Service. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Tidepool Artists regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by us to be effective.

15.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

15.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms.

15.6 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure failures, or pandemics.
